Terms of Service
Last updated: 1 May 2026 · Privacy · DPA · Acceptable Use
1. Agreement
These Terms of Service (the "Terms") are between Cloud Maturity Enterprise, Inc. ("CME", "we") and the entity identified at sign-up ("Customer", "you"). By creating a tenant or signing an order form, you agree to these Terms and our Acceptable Use Policy and Data Processing Agreement.
2. The service
CME provides a multi-tenant, cloud-hosted audit platform for AWS environments (the "Service"). Service availability and feature scope are described on the pricing page; the support response and uptime commitment are described in the SLA.
3. Subscription, billing, trial
Free trial is 14 days from tenant creation, no card. Paid plans renew monthly or annually as ordered. Annual plans are non-refundable except as required by law; monthly plans may be cancelled effective end-of-period. Overages are not charged by default — audits past the plan cap queue or fail open until you upgrade.
Card payments are handled by Stripe; CME never stores PAN data. Enterprise accounts may invoice via NET-30 terms with signed order forms.
4. Customer data + IP
You retain all rights to (a) the AWS environment data we process under our DPA, (b) the customer documents you upload, and (c) the audit findings the agent produces. Codegen output (CloudFormation, Terraform, CLI, CDK) is yours to use, modify, and redistribute without further license from CME.
The Service itself, including the corpus, the agent, the eval harness, and all code, remains the property of CME and is licensed to you for use during the subscription term.
5. Acceptable use
See Acceptable Use Policy for the rules you agree to when using the Service. Material breaches let us suspend or terminate the account; we'll contact you first unless the breach is causing active harm.
6. Confidentiality
Each party will hold the other's Confidential Information in confidence and use it only to perform the agreement. Audit findings, corpus content, and agent traces are Customer Confidential. Pricing, roadmap, and unreleased features are CME Confidential.
7. Warranties + disclaimers
We warrant that the Service will perform substantially as described in the documentation. EXCEPT FOR THE EXPRESS WARRANTIES IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND CME DISCLAIMS ALL OTHER WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY'S AGGREGATE LIABILITY UNDER THESE TERMS WILL EXCEED THE FEES CUSTOMER PAID OR OWED TO CME IN THE 12 MONTHS PRECEDING THE CLAIM. NEITHER PARTY IS LIABLE FOR INDIRECT, CONSEQUENTIAL, OR LOST-PROFIT DAMAGES.
9. Term + termination
Either party may terminate for material breach not cured within 30 days of written notice. We may suspend immediately if you violate the AUP in a way that causes active harm or legal exposure.
On termination, we delete tenant data within 30 days unless you request export first (we'll provide a CSV/JSON archive on request, or via the in-app data portal).
10. Governing law + disputes
These Terms are governed by Delaware law (without regard to conflicts-of-law principles). Disputes go to binding arbitration in Wilmington, DE under JAMS rules. Either party may seek injunctive relief in court for IP or confidentiality claims.
11. Changes
We'll post material changes 30 days before they take effect. Continued use after the change date is acceptance.
